Selling a Kabushikigaisha

Anyone done this? I've learned that shutting one down can cost quite a bit in forms alone, not to mention you'll probably want your CPA to do it for you (if you've had one) to make sure it's all kosher, and there's a fee as well. However, it's legal to transfer to another person to cut the cost considerably. Anyone have any experience for this? Is there a market place for such things?

No practical experience to draw on, but I am assuming you are just planning to sell the shell of a company structure, not a running business. In that case, you will get no more for your company than a law or accountants office selling a new shelf company: less in fact, because any buyer will feel more comfortable with a brand new company than with one which they have to check whether there are outstanding tax liabilities or debts, and have to change the articles of association to fit their own business purposes and place of registration at the very least.

This might be a good proposition for you if there is someone you know who trusts you and who is coincidentally interested in starting up a new company for a bit of a discount to himself, but if that is the case, you would not be asking this question here.

Basically company shells are not a limited resource, there can always be a new one produced. You are competing in a buyer's market.

Well there you go...sell it to such a gaijin and it's no longer your problem. Hell, maybe you can even gift it to them and make it a tax deduction

Well there you go...sell it to such a gaijin and it's no longer your problem. Hell, maybe you can even gift it to them and make it a tax deduction

Not gift, gift tax is high and stacks according to value. Donate to a registered charitable fund i think you mean. If not a registered charity you cant use on taxes.

You can also just appoint a new director and strip yourself of your rights. Probably a lot smoother than selling the company cause you are hiring a new director and no monies are exchanged. But i am not sure how that would work, and that would also go with donating to a charity.

gift tax in the country where they received it. which you could just put into Hong Kong company or offshore entity, but that costs way too much money for what it would be worth.
